# $META is paying for its AI build by selling stock, not buying it back Latent Equity · published Oct 26, 2026 · AI capital ledger Post: https://x.com/Latent_Equity/status/2114756239334744405 Our read: $META is paying for its AI build by selling new stock, not buying it back. About $35B of new shares launched today, and zero buybacks in the first nine months of 2026. What it means for a regular shareholder: your slice of the company gets a bit smaller. If everything announced gets used, that's roughly 5.8% more shares (our calc, illustrative, final prices not set). The pieces, per Meta's filings today: - $22.5B of Class A stock sold through a forward sale (Meta gets the cash later, by Nov 2027 at the latest) - About $12.5B of mandatory convertible preferred (a special share that must turn into regular stock at a set future date; how many shares isn't fixed yet) - About $60B more planned through an "at-the-market" program, meaning shares sold into the market bit by bit. Planned only: no agreement yet, and the new Class C shares aren't trading yet. That's about $95B in total (our calc from Meta's ~$35B + ~$60B). Why: Meta's 2026 spending guide ($135–145B) leaves $49.2–59.2B for Q4 (our calc). Q3 cash from operations was $32.8B. If that stays flat, Q4 is short about $16–26B (our calc), and that's before dividends and employee stock tax payments, so the real gap is bigger. Buybacks: $0 in the first 9 months of 2026, vs $26.2B in the same stretch of 2025. What would prove us wrong: - Meta restarts buybacks big enough to offset the new shares, or Q4 operating cash jumps enough to cover spending without the ATM.
